Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the LoadHiveAI platform, website, and related services (the “Services”) provided by Kaizen Software Systems Inc.(“Kaizen,” “we,” “us”). By creating an account or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization.

1. Accounts

You must provide accurate information and keep your credentials secure. You are responsible for all activity under your account and for your users’ compliance with these Terms. You must be at least 18 years old.

2. Subscriptions, trials & billing

• Paid plans are billed per active user (seat) at the price shown at sign-up, in advance, on a monthly or annual basis.
• New subscriptions may include a free trial; a valid payment method is required and will be charged when the trial ends unless you cancel.
• Adding users increases your charges; upgrades and added seats are prorated. Downgrades take effect at the end of the current billing period.
• Except where required by law, fees are non-refundable. You authorize us and our payment processor to charge your payment method for all applicable fees and taxes.
• We may change pricing on prospective renewal with reasonable notice.

3. Acceptable use

You agree not to misuse the Services, including by: violating law; infringing others’ rights; uploading malicious code; attempting to gain unauthorized access; interfering with the Services’ operation; or reselling the Services without authorization.

4. Customer data & ownership

You retain all rights to the data and content you submit (“Customer Data”). You grant Kaizen a limited license to host, process, and transmit Customer Data solely to provide and improve the Services. We handle personal data as described in our Privacy Policy. Kaizen owns all rights in the Services, software, and its trademarks.

5. Third-party services

The Services may integrate with third-party products (e.g., payments, mapping, ELD, accounting, load boards). Your use of those products is governed by their terms, and Kaizen is not responsible for them.

6. Disclaimer of warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Kaizen does not warrant that the Services will be uninterrupted, error-free, or secure, or that any data, rate, route, compliance, or financial output is accurate or complete. You are solely responsible for your business decisions and regulatory compliance.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAIZEN AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES. KAIZEN’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO KAIZEN FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

8. Indemnification

You will defend, indemnify, and hold harmless Kaizen from and against any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your Customer Data, your use of the Services, or your breach of these Terms or applicable law.

9. Suspension & termination

You may cancel at any time; access continues through the end of your paid period. We may suspend or terminate the Services for non-payment, violation of these Terms, or to protect the Services or other users. Upon termination, your right to use the Services ceases.

10. Governing law & disputes

These Terms are governed by the laws of the jurisdiction in which Kaizen Software Systems Inc. is organized, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts located there, except that either party may seek injunctive relief to protect its intellectual property.

11. Changes

We may modify these Terms from time to time. Material changes will be indicated by updating the “Last updated” date and, where appropriate, by additional notice. Continued use after changes take effect constitutes acceptance.
